Terms of Service
These terms govern your use of SparkDesk. By creating an account or using the service you agree to them.
1. Who we are and this agreement
SparkDesk is a business workspace for customer relationships, service, projects, documents, billing and related work. The service is provided by Tech Spark Events Inc. ("SparkDesk", "we", "us").
These Terms of Service, together with our Privacy Policy and Acceptable Use Policy, form the agreement between us and the person or organization that creates a workspace ("you"). If you accept these terms for an organization, you confirm you are authorized to bind it.
2. Accounts and workspaces
- You must give accurate information when you sign up and keep it current.
- You are responsible for activity under your account and for keeping your password and any API keys confidential. Tell us promptly at hello@sparkdesk.io if you suspect unauthorized access.
- Workspace owners and admins control who can access the workspace and what they can do. Each person who uses the service needs their own login.
- You must be at least 18 years old, or the age of majority where you live, to create an account.
3. Free trials, the Free plan and early access
New workspaces may start with a free trial. When a trial ends the workspace moves to the Free plan or to a paid plan you choose. Free plan limits are shown on the pricing and billing pages and may change.
SparkDesk is under active development. Features labeled preview, beta or early access may change or be withdrawn and are provided without any service commitment.
4. Subscriptions, billing and cancellation
- Paid plans are billed in advance for the selected period through our payment processor, Stripe. Prices exclude taxes unless stated otherwise; you are responsible for applicable taxes.
- Subscriptions renew automatically until cancelled. You can cancel at any time from Billing settings; cancellation takes effect at the end of the current billing period.
- Fees already paid are non-refundable except where required by law or where we state otherwise in writing.
- If a payment fails we may limit paid features after giving you notice and a reasonable chance to update your payment details.
- We may change prices for future billing periods with at least 30 days notice.
5. Your data
You keep all rights to the data you and your users put into the service, including contacts, records, files, messages and documents ("Customer Data"). You grant us permission to host, process, transmit and display Customer Data only as needed to provide, secure and support the service for you.
You are responsible for having the rights and consents needed to put Customer Data into the service and to process it there, including consent to email people.
We process personal data in Customer Data on your behalf and under your instructions, as described in our Privacy Policy.
You can export your workspace data at any time from Settings. If a workspace is deleted, its data is permanently removed after a 14-day grace period, except for limited records we must keep by law (such as billing records).
6. Inactive Free workspaces
To keep the service healthy we may permanently delete a workspace on the Free plan (including a trial that has ended without an upgrade) when no member has signed in for 180 days. We email the workspace owners and admins 30 and 7 days before deletion. Signing in, exporting data or upgrading stops the deletion.
7. Acceptable use and email sending
You must follow our Acceptable Use Policy. In short: no unlawful, harmful or abusive use, no spam, and no attempts to break or overload the service or access other customers' data.
Email you send through the service shares sending infrastructure with other customers. We apply daily sending limits per plan and may pause sending, campaigns or the workspace if we see high bounce or complaint rates or other signs of abuse.
8. AI features
Some features use third-party AI models to generate summaries, suggestions and other content. AI output can be inaccurate or incomplete; review it before relying on it. You are responsible for how you use AI output.
When you use AI features, the relevant content is sent to the AI provider configured for your workspace to produce the result. We do not use your Customer Data to train AI models. AI providers process requests under their API terms; see the Subprocessors page.
9. Integrations and third-party services
If you connect a third-party service (for example Gmail, Microsoft 365, Stripe or an outreach tool), your use of that service is governed by its own terms, and you authorize us to exchange data with it as needed for the integration you enabled.
10. Our service and feedback
We own the SparkDesk software, design and content we provide. These terms do not give you any rights to them other than the right to use the service as allowed here.
If you send us feedback or ideas, we may use them without obligation to you.
11. Availability and changes
We work to keep the service available and secure but do not guarantee it will be uninterrupted or error free. We may change, add or remove features. If we remove a material feature of a paid plan, we will give reasonable notice.
12. Suspension and termination
- You can stop using the service and delete your workspace or account at any time from Settings.
- We may suspend or terminate access if you materially breach these terms, if required by law, or to prevent harm to the service, other customers or third parties. Where reasonable we will give notice first and a chance to fix the problem.
- After termination you can request an export of your Customer Data for 30 days unless the termination was for a serious violation or deletion is required by law.
13. Disclaimers
Except as expressly stated in these terms, the service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.
14. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility.
To the extent permitted by law, each party's total liability arising out of these terms is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or USD 100 if you have not paid us anything.
These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.
15. Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data or from your use of the service in breach of these terms or the Acceptable Use Policy.
16. Changes to these terms
We may update these terms. For material changes we will notify workspace owners by email or in the app at least 14 days before they take effect. Continuing to use the service after that date means you accept the updated terms.
